Larry W. Miller is a Senior Managing Director of Innisfree M&A Incorporated. Mr. Miller focuses on providing strategic advice in M&A transactions, proxy contests, and annual and special shareholder meetings, and also counsels clients on compensation and corporate governance issues. Notable activist/takeover situations he has worked on include: the successful defense of Automatic Data Processing (ADP) against the proxy contest by Pershing Square Capital Management; the successful acquisition of Rice Energy by EQT Corporation, opposed by JANA Partners; the successful defense of General Motors against the proxy contest by Greenlight Capital; the successful merger vote at Samsung C&T over the opposition of Elliott Associates; the successful defense at Aspen Insurance against the unsolicited tender offer and accompanying solicitation of calls for special meetings by Endurance Specialty Holdings; opposition to the consent solicitation at SandRidge Energy by TPG-Axon; the successful defense at Oshkosh Corporation against a proxy contest and unsolicited tender offer by Carl Icahn; and Airgas’s successful defense against the unsolicited bid by Air Products.
Prior to joining Innisfree, Mr. Miller was a litigator with Cravath, Swaine & Moore representing both issuers and dissidents in proxy contests and M&A transactions. After Cravath, Mr. Miller served as a Justice of the Supreme Court of the Republic of Palau.
Mr. Miller earned a B.A. in philosophy, magna cum laude, from Amherst College, and a J.D., cum laude, from the New York University School of Law, where he was the Co-Editor-in-Chief of the Annual Survey of American Law.
